These Terms of Service ("Terms") govern your use of the services provided by Adaptive Machines LLC (referred to as "we," "our," or "us"). By accessing or using our services, you agree to comply with these Terms. If you do not agree to these Terms, you must not use our services.
1. Age Restriction
You must be at least 13 years old to use our services. If you are under 18, you must have the consent of a parent or guardian to use our services. By using our services, you represent and warrant that you meet these age requirements.
2. Services We Offer
We offer the following primary services:

Learning: Online courses in STEM subjects for high school students, university students, and professionals.

Consulting: Customized robotics consulting services for professionals, startups, and R&D teams.

Innovation: Research and innovation (R&I) project partnerships with businesses and government agencies focused on developing robotics technology.
3. Code of Conduct
To maintain a professional environment, all participants in live courses, discovery calls, consulting sessions, and other interactions must adhere to the following standards:

Respectful Communication: All interactions must remain professional. Disruptive behavior, offensive language, or harassment violate this Code of Conduct.

Constructive Participation: All interactions must be relevant to the topic. Intentional disruptions, trolling, or off-topic discussions violate this Code of Conduct.

Compliance with Policies: Participants must follow all policies of Adaptive Machines LLC, including these Terms of Service.
Violations may result in removal, restricted access, or account termination without a refund. All participation decisions are final and non-negotiable.
4. Rescheduling and Refund Policy
The following policies govern rescheduling and refunds across our services:
4.1 Learning Services
Clients may request a full refund for live courses if the request is submitted no more than 12 hours after the first live session. The first live session is free of charge as part of a no-risk tryout. No refunds will be issued for cancellations made more than 12 hours after the first live session or in the case of a no-show. Refunds are not available for purchases of on-demand video content.
4.2 Consulting Services

Non-Project-Based Services (One-Time or Subscription): Clients may cancel or reschedule at no cost if the request is submitted at least 48 hours before the scheduled session. No refunds are issued after a session is completed or in the case of a no-show.

If Adaptive Machines LLC must reschedule, an alternative session time will be offered.

Project-Based Services: Refunds and adjustments are governed by the signed consulting agreement. Partial refunds may apply only if explicitly stated in the consulting agreement and tied to unfulfilled work.
4.3 Research & Innovation Services

Non-Project-Based Services (One-Time or Subscription): Clients may cancel at least 48 hours before the next billing period to receive a full refund for the unused portion. No refunds are issued for completed work or prior billing periods.

Project-Based Services: Refunds are determined by the signed research agreement. Partial refunds may apply only if explicitly stated in the research agreement and tied to unfulfilled work.
4.4 Rescheduling and Refund Request
All rescheduling and refund requests must be submitted through Adaptive Machines LLC’s official Rescheduling and Refund Request Form. The link to the form is provided in your booking confirmation email or can be accessed though the following link: Reschedule or Refund Request Form.
Once your request is reviewed and approved, refunds will be issued to your original payment method within 5–10 business days. To ensure timely and accurate processing, requests submitted by any other method cannot be accepted. No refunds will be issued to any client who violates Adaptive Machines LLC’s Code of Conduct or Terms of Service.
5. Payments
All payments for services are securely processed through trusted payment processors, such as PayPal, Stripe, or others we may designate. By completing a payment, you authorize us to process transactions using your chosen payment method and confirm that you are legally entitled to use that method.
6. Service Modifications
We reserve the right to modify or discontinue any service at any time. If significant changes occur, we will notify you via email or post a notice on our website. Continued use of our services after such notifications constitutes your acceptance of the changes.
7. Limitation of Liability
To the fullest extent permitted by applicable law, we are not liable for any indirect, incidental, consequential, special, or punitive damages arising from your use of our services. Our total liability will be limited to the amount you paid for the specific service giving rise to the claim.
8. Account Closure
You may close your account at any time by contacting us via the Contact Us page. Upon closure, we will cancel your services and handle your personal data in accordance with our Privacy Policy.
9. Legal Compliance
By using our services, you agree to comply with all applicable laws and regulations. If you are under 18, you must have the consent of a parent or guardian to use our services.
10. Intellectual Property
All content, materials, courses, consulting, and research outputs provided by Adaptive Machines LLC are the exclusive property of Adaptive Machines LLC and are protected under U.S. and international copyright laws. Users are granted a limited, non-exclusive, and non-transferable license to access and use these materials for personal educational purposes or agreed-upon business purposes. Unauthorized reproduction, distribution, modification, or commercial use is strictly prohibited without prior written consent.
11. Governing Law
These Terms of Service are governed by the laws of the State of Tennessee, without regard to conflict of law principles. For users located outside the United States, applicable local laws may also apply, subject to jurisdictional compatibility.
12. Dispute Resolution
Any disputes arising from these Terms shall be resolved through binding arbitration in Tennessee under the rules of the American Arbitration Association (AAA). Arbitration shall be conducted in English. The arbitrator’s decision shall be final and binding. Each party shall bear its own arbitration costs, including filing, administration, and arbitrator fees, unless otherwise required by law or expressly awarded by the arbitrator.
Exceptions: This arbitration agreement does not apply to disputes eligible for small claims court or claims seeking injunctive relief related to intellectual property rights. If arbitration is unenforceable, disputes shall be resolved exclusively in the state or federal courts of Tennessee, and both parties consent to their jurisdiction.
13. Attorney’s Fees
In any legal action or proceeding arising under these Terms of Service, the prevailing party shall be entitled to recover its reasonable attorney’s fees and litigation costs from the non-prevailing party, subject to the court’s or arbitrator’s discretion.
